Terms of Service

General Terms and Conditions

1. Scope

These General Terms and Conditions (GTC) apply to the use of Sparks services provided by Sparks – GoHunting Deutschland GmbH. The services are exclusively aimed at companies, members of the liberal professions and public institutions. The complete conditions are available at sparks.team/terms.

2. Service Description

Sparks offers internet-based communication services, including:

• Integrations with business applications
• VoIP telephony
• AI-powered meeting transcription and summaries
• File sharing and document management
• Chat and video communication for employees in a specially protected area

The services are based on open source projects and are operated entirely in EU data centers.

3. Contract Conclusion

The contract is concluded by accepting these terms and registering on the Sparks website. Deviating terms and conditions of the customer do not apply.

4. Services and Remuneration

The remuneration is based on the plan selected by the customer:

• Starter Plan: €3.99* per user/month – Basic features
• Business Plan: €8.99* per user/month – Advanced features and AI
• Enterprise Plan: Individual pricing – Fully customizable

All prices plus applicable VAT.

5. Service Changes

Sparks reserves the right to expand, modify or improve the services. Significant changes will be communicated to customers in good time. In the event of significant restrictions, the customer has a special right of termination.

6. Customer Obligations

• Immediate reporting of security incidents
• No distribution of unlawful or harmful content
• Compliance with applicable laws and regulations
• No abusive use of the services
• Maintaining confidentiality of access data

7. Availability

Sparks strives for high availability of the services. Availability of 99.5% is aimed for, but not guaranteed. Planned maintenance work will be announced in good time.

8. Data Protection and Security

The protection of your data has the highest priority. All data is stored exclusively in EU data centers and is subject to the GDPR. Details can be found in our privacy policy at sparks.team/privacy.

9. Term and Termination

The contract is concluded for an indefinite period. The notice period is:

• Enterprise Plan: According to individual agreement
• Business Plan: 1 month to the end of the month
• Starter Plan: 1 month to the end of the month

The right to extraordinary termination for good cause remains unaffected.

10. Liability

Sparks is liable in accordance with legal provisions for intent and gross negligence. In the case of slight negligence, Sparks is only liable for the breach of essential contractual obligations. Liability is in this case limited to the foreseeable, contract-typical damage.

11. Open Source Licenses

Sparks uses open source software under various licenses, in particular:

• AGPL-3.0 License
• MIT License
• Apache License 2.0

12. Final Provisions

German law applies to the exclusion of the UN Convention on Contracts for the International Sale of Goods. The place of jurisdiction is Düsseldorf, insofar as the customer is a merchant, a legal entity under public law or a special fund under public law. Should individual provisions of these GTC be or become invalid, the validity of the remaining provisions shall remain unaffected.
